GOLIETH TERMS OF SERVICE

Welcome to the Terms of Service (these "Terms") for the website, golieth.io and related services (the "Platform"), operated by Mojito Inc. ("Company", "we" or "us"). The Platform and any content, tools, features, and functionality offered on or through our Platform are collectively referred to as the "Services".

These Terms govern your access to and use of the Services. Please read these Terms carefully, as they include important information about your legal rights. By accessing and/or using the Services, you are agreeing to these Terms. If you do not understand or agree to these Terms, please do not use the Services.

For purposes of these Terms, "you" and "your" means you as the user of the Services. If you use the Services on behalf of a company or other entity then "you" includes you and that entity, and you represent and warrant that (a) you are an authorized representative of the entity with the authority to bind the entity to these Terms, and (b) you agree to these Terms on the entity's behalf.

Section 9 contains an arbitration clause and class action waiver. By agreeing to these Terms, you agree (a) to resolve all disputes with us related to the Services through binding individual arbitration, which means that you waive any right to have those disputes decided by a judge or jury, and (b) to waive your right to participate in class actions, class arbitrations, or representative actions in connection with your use of the Services. You have the right to opt-out of arbitration as explained in Section 9.

1. THE SERVICES AND ELIGIBILITY TO USE THE SERVICES

1.1 Golieth Platform

The Services provide a curated marketplace that connects DeFi protocols with qualified users based on on-chain reputation analysis. Our Services may include, but are not limited to:

  • Wallet Analysis and Reputation Scoring: Analysis of users' cryptocurrency wallets to determine reputation scores and tier assignments based on DeFi history, balances, and participation in Ethereum cultural moments;
  • Tiered Access System: A tier-based system that provides users access to investment opportunities based on their reputation scores, with higher tiers unlocking more exclusive vaults and better terms;
  • Investment Opportunities: Curated investment opportunities through partner DeFi protocols, including vaults with minimum deposit amounts and lockup periods;
  • Points and Rewards System: A points-based system that rewards users for participation, with point multipliers that increase as users level up;
  • Portfolio Management: Tools for users to monitor their investments and portfolio performance;
  • Protocol Partnership Services: Services for DeFi protocols to list investment opportunities and access qualified users.

1.2 Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

1.3 Digital Wallets and Blockchain Integration

The Services require you to connect and use third-party digital wallets (such as MetaMask, WalletConnect, etc.) for wallet analysis and investment activities. By using wallet functionality, you agree that:

  • You are solely responsible for maintaining the security of your wallet and private keys;
  • We cannot recover lost private keys or reverse blockchain transactions;
  • All blockchain transactions are final and irreversible;
  • You understand the risks associated with cryptocurrency and DeFi activities.

2. REPUTATION SCORING AND TIER SYSTEM

2.1 Reputation Analysis

We analyze your connected wallet to determine your reputation score based on factors including but not limited to participation in Ethereum cultural moments, current balances and positions, DeFi protocol interactions, length of time holding positions, and overall DeFi sophistication.

2.2 Tier Assignment and Modification

Based on your reputation score, you will be assigned to a tier that determines your access to investment opportunities. We reserve the absolute right to modify, change, or eliminate tier requirements, tier benefits, tier assignments, and the entire tier system at any time without notice. Users can progress to higher tiers and gain access to more lucrative investment pools by completing lockup periods with partner protocols. 2.3 Points System

Users may earn points through various activities on the Platform. We reserve the absolute right to modify, change, or eliminate the points system, point values, point multipliers, point earning mechanisms, and point redemption options at any time without notice.

3. INVESTMENT ACTIVITIES AND PARTNER PROTOCOLS

3.1 Investment Opportunities

The Platform provides access to investment opportunities through partner DeFi protocols. You acknowledge that:

  • All investments are made directly with partner protocols through their smart contracts;
  • Investment opportunities may have minimum deposit amounts and lockup periods;
  • We do not guarantee the availability, terms, or performance of any investment opportunity;
  • Investment opportunities may be modified or removed at any time.

3.2 Partner Protocol Relationships

We may enter into partnerships with DeFi protocols to provide investment opportunities to our users. You acknowledge that:

  • We are not responsible for the actions, omissions, or performance of partner protocols;
  • Your relationship regarding investments is directly with the partner protocol;
  • We may receive fees or other compensation from partner protocols;
  • Partner relationships may be terminated at any time.

4. RIGHTS WE GRANT YOU

4.1 License to Use Services

Subject to your compliance with these Terms, we grant you a personal, worldwide, royalty-free, non-assignable, non-sublicensable, non-transferable, and non-exclusive license to access and use the Services.

4.2 Restrictions on Use

You may not:

  • Use the Services for any illegal, fraudulent, or unauthorized purpose;
  • Interfere with or disrupt the Services or servers;
  • Attempt to gain unauthorized access to any part of the Services;
  • Use automated tools to access or interact with the Services without permission;
  • Manipulate or attempt to manipulate reputation scores, tier assignments, or points;
  • Provide false information about your wallet ownership or transaction history;
  • Violate any applicable laws or regulations.

5. COMPANY DISCRETION AND PLATFORM MODIFICATIONS

5.1 Absolute Discretion

We reserve the absolute right, in our sole discretion, to:

  • Modify, suspend, or discontinue any aspect of the Services at any time;
  • Change tier requirements, benefits, and assignments;
  • Modify the points system, including point values and earning mechanisms;
  • Add, remove, or modify investment opportunities;
  • Terminate or modify partner relationships;
  • Change fee structures and pricing;
  • Implement new features or remove existing features;
  • Modify reputation scoring algorithms and criteria.

5.2 No Notice Requirement

Except as required by applicable law, we may make any changes described in Section 5.1 without providing notice to you other than updating the "Last Updated On" date of these Terms. Your continued use of the Services after any such changes constitutes acceptance of the modified Terms.

6. FINANCIAL RISKS AND DISCLAIMERS

6.1 Investment Risks

You acknowledge and agree that DeFi and cryptocurrency investments involve substantial risk, including but not limited to:

  • Total loss of invested funds;
  • Smart contract vulnerabilities and exploits;
  • Market volatility and liquidity risks;
  • Regulatory changes that may affect investments;
  • Technical failures of blockchain networks;
  • Impermanent loss and other DeFi-specific risks.

6.2 No Investment Advice

The Services do not provide investment, financial, legal, or tax advice. All information provided is for informational purposes only. You are solely responsible for making your own investment decisions.

7. DISCLAIMERS AND LIMITATIONS OF LIABILITY

7.1 Service Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED $100 OR THE AMOUNT YOU PAID US IN THE PAST SIX MONTHS, WHICHEVER IS GREATER.

7.3 Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

8. INTELLECTUAL PROPERTY

8.1 Ownership of Services

The Services and all related intellectual property are owned by us or our licensors. You agree not to take any actions inconsistent with such ownership interests.

8.2 Feedback

Any feedback you provide becomes our sole and exclusive property, and we may use it without compensation to you.

9. DISPUTE RESOLUTION

9.1 Arbitration Agreement

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration administered by JAMS, rather than in court.

9.2 Class Action Waiver

You waive any right to participate in class actions or representative proceedings.

9.3 Opt-Out Right

You may opt out of arbitration by sending written notice within 30 days of agreeing to these Terms.

10. ADDITIONAL PROVISIONS

10.1 Modifications to Terms

We may modify these Terms at any time by updating the "Last Updated On" date. No other notice is required unless mandated by applicable law. Your continued use of the Services constitutes acceptance of any modifications.

10.2 Termination

We may suspend or terminate your access to the Services at any time for any reason or no reason.

10.3 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

10.4 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
